ROLE OVERVIEW
- Numerator is seeking a Procurement Counsel to support the company's global vendor and procurement contracting function. This role will serve as a key legal resource for inbound vendor agreements across the organization, working with teams in technology, finance, HR, marketing, operations, and other business units worldwide. The successful candidate will help build and refine processes that allow Numerator to move quickly on procurement while maintaining consistent standards for risk, data protection, and commercial terms.
RESPONSIBILITIES
- The Procurement Counsel shall be responsible for the following duties:
- Serve as a primary legal point of contact for vendor, supplier, and procurement contracts globally.
- Draft, review, and negotiate a high volume of vendor agreements, including SaaS/technology agreements, professional services agreements, consulting agreements, staffing and contingent workforce agreements, marketing and media agreements, data provider agreements, and NDAs.
- Assess vendor contract risk across key areas including data privacy, information security, intellectual property, indemnification, liability, and insurance.
- Develop and maintain Numerator's vendor contract templates, playbooks, and fallback positions to enable faster, more consistent deal execution.
- Support vendor contracting intake and triage processes,
- Partner with procurement, IT, information security, and privacy teams on vendor onboarding and due diligence workflows.
- Advise internal stakeholders on vendor risk and help business teams understand key contract terms.
- Support other legal team projects and initiatives as needed.
- SKILLS AND REQUIREMENTS
- The ideal candidate shall possess the following qualifications, skills, and experience:
- Law degree from a recognized Indian university.
- 3+ years of experience in commercial/transactional legal work with exposure to vendor-side or procurement contracting, either in-house or at a law firm.
- Familiarity with technology and SaaS vendor agreements.
- Working knowledge of data privacy frameworks (GDPR, CCPA/CPRA, and others) as applied to vendor and data processing relationships.
- Strong contract drafting and negotiation skills.
- Fluent in English with the ability to conduct business, draft, and negotiate contracts in English.
- Demonstrated ability to manage a high volume of contracts efficiently without sacrificing quality.
- Process-oriented mindset with interest in building or improving contracting workflows.
- Proficiency with Google Suite, Microsoft Office, and collaboration tools.
