Corporate Secretarial, Vice President, Attorney - Enterprise

We're seeking someone to join our team as a Vice President in the Legal and Compliance division.

In the Legal & Compliance division, we assist the Firm in achieving its business objectives by facilitating and overseeing the Firm's management of legal, regulatory and franchise risk. This is a Vice President level position within the Attorney – Enterprise team.

What you'll do in the role:

• Vice President is responsible for managing three core corporate secretarial verticals: Morgan Stanley Parent (“Parent”), Bank entities (“Banks”) and Subsidiary entities (“Subsidiaries”). The role will oversee day-to-day execution, governance support, stakeholder coordination and delivery of corporate secretarial workflows for Material Operating Entities, Material Service Entities and other significant, regulated and unregulated U.S., Cayman Islands and Canadian subsidiaries. This role reports directly to the Head of Americas Corporate Secretarial group based in New York and dotted line reporting to the Head of India CoSec based in Mumbai.
• Duties and responsibilities include managing the Parent, Banks and Subsidiaries verticals and directly overseeing the Mumbai support teams assigned to those verticals, including the following:
• Manage corporate secretarial support for Parent, Bank and Subsidiary entities, including prioritization of workstreams, assignment of responsibilities, workflow tracking and escalation of issues requiring senior attention
• Oversee preparation, organization and content generation related to Board and Board-Level Committee meetings and consents across the three verticals
• Coordinate dividend consents, audit committee meetings and related governance deliverables for in-scope entities
• Facilitate Resolution and Recovery-related playbooks, board briefings, approvals and related coordination with internal stakeholders
• Lead coordination of the Mumbai support team, including intake management, quality control, timely completion of recurring deliverables, [training], process improvement and issue escalation

• Entity Lifecycle Management – end to end support with legal entity formations, mergers, acquisitions, good standing health checks, asset transfers, entity restructurings and mergers/dissolutions
• Respond to requests from all three business segments for entity information, materials and assistance with notarization/apostille
• The ideal candidate should have excellent organizational, project management and interpersonal skills, together with extensive U.S. and Delaware law experience and a strong working knowledge of U.S. regulatory agencies and their requirements. The candidate should be detail-oriented, comfortable managing multiple verticals, and able to identify matters requiring escalation or special attention. The position requires the experience, maturity and judgment necessary to work independently, supervise support resources, coordinate with senior stakeholders and effectively manage a wide variety of recurring and ad hoc corporate secretarial responsibilities.
• Financial services, banking, legal entity governance and comprehensive corporate secretarial managerial experience is essential, including experience managing the primarily U.S.-based subsidiary chain of a global systemically important bank with an entity portfolio covering the United States, Canada and the Cayman Islands.

What you'll bring to the role:

• Qualified/Experienced Company Secretary – LLB / BGL and /or bachelor’s degree in a related field (essential)
• 13 - 15 years of post-qualification experience, particularly in U.S. and Delaware law managing the corporate secretarial oversight, processes and deliverables for a wide array of legal entities in the U.S., Canada and the Cayman Islands

• Successfully meet established deadline requirements – display efficient time management skills
• Experience in stakeholder management with excellent interpersonal skills and the ability to work effectively
• Ability to identify and recommend process efficiencies
• Attention to detail

Coverage

Monday to Friday from 1.30 PM to 10.30 PM India time with flexibility to accommodate time sensitive matters on India Public Holidays and Firm Holidays.
