The Manager, Contracts is a member of the Legal Team, responsible for leading the team
of contracting professionals who are diligent, proactive, and work cross-functionally with
all areas of the company in a collaborative, collegial, fast-paced, global team
environment. These teams help accelerate Onit’s success by providing practical,
creative, thoughtful, and quick answers to key contractual questions. The Manager will
draft, negotiate, and manage a wide variety of agreements, including commercial and
customer agreements. The Manager will assist with the continuous development of the
Contracts function.
Responsibilities:

  • Lead and manage a team of dedicated Contracts Specialists (all levels).
  • Process improvement; special projects; compliance research; problem-solving; and
  • interacting with clients and outside counsel.
  • Engage regularly with sales and executive leadership.
  • Provide onboarding, training, and guidance to new team members.
  • Write, review, draft, and negotiate a large volume of commercial agreements –
  • software as a service, professional services, DPAs, etc. – through the negotiation process to signature.
  • Identify terms that vary from corporate standards to ensure accuracy and compliance, recommend appropriate modifications, engage, and collaborate with Sales, Services, InfoSec, Legal, and other internal organizations to ensure corporate contract guidelines are adhered to and risks are mitigated.
  • Provide effective guidance of contract issues to management.
  • Provide guidance on contracting practices and procedures to employees.
  • Prepare and administer routine correspondence.
  • Other tasks and activities as assigned.

Qualification and Experience :

  • Excellent written and verbal communication and negotiation skills.
  • Ability to interface with and influence all levels.
  • Ability to handle and resolve conflicts in a professional and tactful manner.
  • Strong analytical, interpersonal, and decision-making skills with the ability to effectively work in a team environment and under minimal supervision.
  • Strong awareness of business priorities.
  • Self-starter with a positive attitude, possesses a strong sense of urgency, and is a clear-thinker able to perform in high-pressure situations.
  • Strong understanding of contract provisions and risks and the legal areas and laws that impact them.
  • Successfully accomplish work with a high degree of independence and balance competing priorities with short lead times.
  • Effectively analyze significant, and/or unique contract requirements, special provisions, and terms and conditions to ensure compliance with appropriate laws, regulations, and corporate policies and communicates results.
  • Proficiency in MS Office – especially Word and Excel – is required.
  • Experience with SalesForce.com is preferred
  • Experience with DocuSign is preferred.
  • 7-10 years of experience in the creation, negotiation, preparation, administration, and monitoring of technology-related agreements.
  • People supervisory/management experience is preferred
  • Intellectual curiosity about Onit’s customers, products/technology, and contract provisions.
  • Bachelor or Law degree.

Physical Requirements:
General office environment and responsibilities requiring:

  • Extensive use of the computer which involves viewing a monitor and keyboarding for most of the workday;
  • Placing and receiving phone calls; and
  • May require some travel (domestic and international) if needed.
